Extending the Bylaws Committee Charter

Resolution 2004-01-05.dbg.1

   January 5, 2004

   WHEREAS:
     * The Bylaws Committee as chartered by the Board in 2003-01-06.wta.2
is set to expire on January 14th, 2004; and
     * Improvements continue to be needed on the Bylaws

   RESOLVED THAT the Charter for the Bylaws Committee shall be adjusted to
make the ByLaws Committee a standing committee.

   FURTHER RESOLVED, the Chairman of the Bylaws Committee may accept
resignations and appoint new members to fill any resulting vacancies.
